This Agreement in conjunction with the Privacy Policy incorporated herein by reference and other terms and conditions/policies which may be posted on the Site, constitute a legal agreement that governs your use of the Site and any of its services. By using the Site, through your computer, smartphone, or any other electronic device, you agree to be legally bound by these Terms of Use. You are only authorized to use the Site if you agree to abide by all applicable laws to this Agreement.

In addition, you may not use any content contained in the Site in any manner that may give a false or misleading impression or statement as to Vidisco or any third party referenced in the Site.
3.3. Notwithstanding any of the above, Vidisco reserves the right, without notice and at its sole discretion, to terminate your license to use this Site, and to block or prevent your future access to and use of the Site.
4. INTELLECTUAL PROPERTY
4.1. The content and material (such as, but not limited to, information, data, text, logos, images, graphics, designs, schematic plans etc.) on this Site is the property of Vidisco or other respective owners who have granted Vidisco the right and license to use such content and material, and is protected by intellectual property laws, copyrights laws and treaties. Vidisco and its licensors retain all title to copyrights in any such content and material and nothing herein shall provide any license, to the user of this Site or any other third party, except for the license granted under section 3 of this Terms of Use. Unless explicitly stated in this Terms of Use, you may not reproduce, duplicate, copy, publicly display, distribute, modify or make any other use of the content and material without Vidisco's prior written approval.
4.2. All intellectual property associated with this Site, including its content, proprietary designs, trademarks, service marks, and trade names displayed on the Site, registered or unregistered, (the “Marks”) are the sole property of Vidisco, or other respective owners who have granted Vidisco the right and license to use such Marks. The Marks displayed on the Site are subject to the trademark rights of Vidisco and except as provided herein, you are not granted any license or right to use any Marks without the prior written approval of Vidisco.
5. CONTENT AND INFORMATION DISPLAYED ON THE SITE
5.1. Vidisco strives to ensure that the content on the Site is accurate and up to date. Nevertheless, some content may be lacking and/or not completed and/or contain errors.
5.2. The users are aware of and agrees, that access to the Site and any part of the Site may be contingent upon the hardware and software installed on their computer, including certain browsers and plug-ins for those browsers. It shall be the user's responsibility to identify and install at his expense any software and/or hardware component required in order to use the Site. Vidisco shall not be responsible for such installations, for any defect in them or for any fault or discrepancy in content presentation resulting from the installed or non-installed software components. Vidisco does not undertake that the contents presented on the Site will be continuously displayed fully and/or identically and/or correctly on different computers.
5.3. The information displayed on the Site does not constitute a recommendation, opinion, advice, an offer to provide a service and/or to purchase a product, and any reliance on information shown on the Site shall be at the user's sole risk and Vidisco shall not be responsible for the user's reliance on the information and/or for such information compatibility with the user's use and/or requirements. Vidisco disclaims all responsibility for content provided by third parties and does not guarantee their correctness. Any designs, schematic plans, specifications, pictures and/or images that shown on the Site are for illustration purposes only, and not necessarily identical to the product. Only the designs or plans attached to an agreement signed by Vidisco and the specification included therein shall be binding upon the parties to that agreement.
5.4. If an inconsistency and/or discrepancy be found between the content of the Site and the information contained in any formal document of Vidisco, the information contained in the formal document of Vidisco shall prevail and be considered as correct.
6. LINKS TO THIRD PARTY WEBSITES
6.1. Our Site may provide hyperlinks to other third-party websites that are not owned or controlled by Vidisco or the Site. If you choose to use these links, you will leave the Site. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any such third-party websites.
6.2. You acknowledge and agree that the Site is not responsible for the availability of any such external third-party websites or resources, and does not endorse any advertising, products or other materials on or available from such websites or resources or make any representations about them.
6.3. You acknowledge and agree that Vidisco is not liable for any loss or damage which may be incurred by you as a result of the availability of those external websites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products, services or other materials on, or available from, such third party websites or resources.
7. WARRANTIES; LIMITATION OF LIABILITY
7.1. To the fullest extent permitted by law you expressly understand and agree that all the content and services presented on or in connection with the Site are provided hereunder “as is” and that your use of the Site is at your sole risk without Vidisco providing any representations, warranties, covenants or conditions of any kind. Vidisco and its officers, directors, employees, partners, customers, agents, successors and assigns and/or anyone acting on its behalf expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement. No information, obtained by you from the Site shall create any warranty not expressly stated in this Terms of Use. Vidisco does not warrant that the Site will be uninterrupted, timely, error-free or completely secure.
7.2. In no event, to the fullest extent permitted by law, you expressly understand and agree that Vidisco and its officer, directors, employees, partners, customers, agents, successors and assigns and/or anyone acting on its behalf shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, cost of purchase of products or services, any interruption of business or other intangible losses (even if Vidisco has been advised of the possibility of such damages), resulting from your use of the Site. This section will be given full effect even if any remedy specified in the Terms of Use is deemed to have failed of its essential purpose.
7.3. Without derogating from the above, it is further agreed that you shall assume full responsibility for any damage caused to your network, software or computer system, including to the data contained therein, from your use of the Site or in connection with any materials provided therein.
8. APPLICABLE LAWS
All matters relating to your use of, and access to, the Site shall be governed by and construed in accordance with the laws of the State of Israel. The competent courts of Tel-Aviv, Israel, shall have sole jurisdiction over any conflict and/or dispute arising out of, or in connection with, your use of the Site.
